SAAS TERMS OF SERVICE (GYM OWNERS)

1. Services

We provide a multi-tenant mobile gym management platform including member management, class scheduling, QR attendance, payment processing via Stripe Connect, push notifications, community features, and an administrative web dashboard. Feature availability may change with notice.

2. Subscription Plans and Billing

• Starter Plan: $150.00 CAD/month + HST (up to 40 active members)
• Pro Plan: $225.00 CAD/month + HST (41 or more active members)
• Plans are month-to-month with no minimum commitment
• Automatic upgrade: when active members reach 41, your plan upgrades to Pro automatically at the next billing cycle
• HST (13%) applies to all subscriptions as required by Canadian law
• Billing occurs monthly via Stripe to your registered payment method
• Failure to pay within 7 days of due date may result in service suspension

3. Payment Processing for Your Members

• Member payments flow through Stripe Connect to your connected Stripe account
• Stripe's processing fees (currently 2.9% + $0.30 CAD per transaction) are deducted by Stripe directly — not by Rebel Ring
• We do not add markup to payment processing fees
• We reserve the right to pass through processor rate changes with 30 days notice
• You are responsible for your own Stripe account compliance and any chargebacks

4. Data Ownership

• You own all member data associated with your gym
• We process member data on your behalf as a data processor under PIPEDA
• Upon cancellation, we will provide a full data export within 14 days upon request
• After 30 days following cancellation, member data is permanently deleted from our systems unless an export has been requested
• We will never sell or share your members' personal data with third parties

5. In-App Advertising

The platform may display in-app promotional content to members including advertisements for martial arts products, services, and Rebel Fight Co applications. This is disclosed to members in the member Terms of Service and Privacy Policy. Revenue from third-party advertising supports platform operations and contributes to keeping subscription fees competitive.

6. Acceptable Use

You agree not to use Rebel Ring for any unlawful purpose, to harass members, to misrepresent your gym or services, or to interfere with the platform. Violation may result in immediate account termination without refund.

7. Uptime and Support

We target 99.5% monthly uptime excluding scheduled maintenance. We will provide reasonable advance notice of scheduled maintenance. Support is available via rebelfightco@gmail.com with response within 2 business days for non-critical issues and best-effort same-day response for critical issues (member access or payment failures).

8. Cancellation

Either party may cancel with 30 days written notice to rebelfightco@gmail.com. No refunds are issued for partial billing periods. Upon cancellation:

• Member access is disabled at end of billing period
• Data export is available for 30 days post-cancellation
• After 30 days, all gym and member data is permanently deleted

9. Limitation of Liability

Our total liability to you shall not exceed the subscription fees paid in the 3 months preceding the claim. We are not liable for indirect or consequential damages, lost revenue, or data loss resulting from service interruption.

10. Indemnification

You indemnify Rebel Fight Co against claims arising from your gym's operations, your members' use of the platform at your direction, or your violation of this Agreement.

11. Governing Law

This Agreement is governed by Ontario law. Disputes are resolved in London, Ontario.

12. Entire Agreement

This Agreement, together with the Privacy Policy at rebelring.ca/privacy, constitutes the entire agreement between the parties.

13. Changes

We may update these Terms with 30 days notice. Continued use after the effective date constitutes acceptance.
